Terms of Service

These Terms summarize the legal framework for using XQworkflow and related Terlumina services. Customer agreements remain subject to signed order confirmations and statements of work.
1. Agreement Structure
The binding agreement is between the Client identified in an order confirmation and Terlumina, LLC.
- The signed order confirmation and these terms are read together as one agreement.
- Use of the software constitutes acceptance of the applicable agreement terms.
- Additional services may be governed by signed Statements of Work (SOWs).
2. License and Permitted Use
XQworkflow is provided as a SaaS solution. Clients receive a limited, non-exclusive, non-transferable right for authorized users to access and use the platform for internal business use.
- Use is limited to licensed facilities and authorized users.
- Rights not expressly granted are reserved by Terlumina and its licensors.
- Client does not receive source code or ownership rights in software or methodology.
- Reverse engineering, redistribution, and unauthorized derivative use are prohibited.
3. Services and Support
- Terlumina hosts and maintains the service environment for licensed access.
- Data storage services are included as part of the platform service model.
- Support is provided through published support channels and policies.
- Additional implementation, training, consulting, or custom work may require an SOW and additional fees.
4. Client Responsibilities
- Maintain secure access controls for user accounts and credentials.
- Provide and maintain compatible client-side systems and internet connectivity.
- Ensure legal and compliant use of the service and submitted data.
- Cooperate with Terlumina on operational, support, and security matters.
5. Data and Confidentiality
Client data submitted to the platform is handled as confidential and used to provide contracted services. Each party must protect confidential information disclosed under the agreement.

6. Fees, Billing, and Taxes
- Subscription fees are generally billed annually unless otherwise stated in writing.
- Additional services are billed according to the relevant SOW or written agreement.
- Applicable taxes are the responsibility of the client except where legally prohibited.
7. Security and Acceptable Use
- Clients are responsible for user account security and safeguarding credentials.
- Unauthorized access, abuse, and prohibited data uploads are not permitted.
- Terlumina may suspend access to protect platform and data security.
8. Intellectual Property
The software, documentation, know-how, and related methods remain the intellectual property of Terlumina and/or its licensors. Customer feedback may be used by Terlumina as described in the contractual terms.
9. Term and Termination
Agreements generally begin with the applicable order confirmation and renew according to their contracted terms unless non-renewed or terminated under contract provisions.
On termination or expiration, rights to use the service end and post-termination obligations continue as required by the agreement.
10. Disclaimers and Limitation of Liability
The service is provided under the warranty and liability limitations set out in the contractual terms, including exclusions for indirect or consequential damages to the extent permitted by law.
Clients remain responsible for decisions, actions, and outcomes based on use of the service and any resulting reports or analyses.
11. Governing Law and Venue
Unless otherwise specified in a signed agreement, terms are governed by Utah law and disputes are subject to agreed venue provisions in Utah.
